1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the Medi Connex platform ("Platform"), operated by Medi Connex ("we", "us", or "our"). By registering for or using Medi Connex, you ("User") agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Medi Connex.

2. Description of Service

Medi Connex is a cloud-based clinical management platform designed for registered healthcare practitioners. The Platform enables users to manage patient records, generate prescriptions, sick notes, medical letters, and pathology request forms, and schedule appointments.

Medi Connex is a tool to assist healthcare practitioners — it does not constitute medical advice, and we are not a healthcare provider. All clinical decisions remain solely the responsibility of the registered practitioner using the Platform.

3. Eligibility & User Responsibilities

To use Medi Connex, you must:

  • Be a registered healthcare practitioner or authorised administrative staff member of a registered practice.
  • Be registered with the Health Professions Council of South Africa (HPCSA) or relevant professional body where applicable.
  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your login credentials.
  • Immediately notify us of any unauthorised use of your account.

You are responsible for all activity that occurs under your account. You may not share your account credentials with any unauthorised person.

4. Acceptable Use

You agree to use Medi Connex only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to generate fraudulent, false, or misleading clinical documents.
  • Issue prescriptions for controlled substances without proper authority or in violation of applicable laws.
  • Upload or transmit harmful, unlawful, or offensive content.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Reverse engineer, decompile, or attempt to extract source code from the Platform.
  • Use the Platform in any way that could damage, disable, or impair its operation.
  • Violate any applicable South African law or regulation, including but not limited to the Medicines and Related Substances Act, POPIA, and the National Health Act.

We reserve the right to suspend or terminate accounts found to be in violation of these acceptable use standards.

5. Subscription & Billing

Access to Medi Connex is provided on a subscription basis. By subscribing, you agree to pay the applicable fees as set out on our pricing page.

  • Billing Cycle: Subscriptions are billed monthly or annually in advance, depending on your selected plan.
  • Payment: Fees are charged to your nominated payment method at the start of each billing period.
  • Price Changes: We will provide at least 30 days' written notice before any price changes take effect.
  • Taxes: All prices are exclusive of VAT. VAT will be added where applicable under South African law.
  • Failed Payments: If payment fails, we reserve the right to suspend access to the Platform until payment is received.

6. Cancellation & Refunds

Cancellation by You: You may cancel your subscription at any time through the Settings page or by contacting our support team. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.

Cancellation by Us: We may suspend or terminate your account immediately if you breach these Terms, or with 30 days' notice for any other reason.

Data upon Cancellation: Following cancellation, your data will be retained for 90 days during which you may request an export. After 90 days, your data will be scheduled for deletion, subject to our legal retention obligations.

7. Intellectual Property

The Medi Connex platform, including its software, design, trademarks, and content, is owned by Medi Connex and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal practice management purposes.

Your Content: You retain ownership of all patient data and clinical content you input into the Platform. By using Medi Connex, you grant us a limited licence to process and store that content solely to provide the service to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written consent.

8. Data & Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. You agree to comply with all applicable data protection laws, including POPIA, in connection with your use of the Platform and your handling of patient data.

9. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

Medi Connex does not provide medical, legal, or professional advice. All clinical and professional decisions are your sole responsibility.

10. Limitation of Liability

To the maximum extent permitted by applicable South African law, Medi Connex shall not be liable for any:

  • Indirect, incidental, special, or consequential damages.
  • Loss of data, revenue, profit, or business opportunity.
  • Clinical errors, misdiagnoses, or patient harm arising from use of the Platform.
  • Losses arising from unauthorised access to your account due to your failure to safeguard credentials.

Our total aggregate liability to you for any claim shall not exceed the total fees paid by you to Medi Connex in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Medi Connex, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights, including patient rights under POPIA.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform with at least 14 days' notice before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
